Toronto, Ontario–(Newsfile Corp. – January 16, 2026) – Prophecy DeFi Inc. (CSE: PDFI) (“Prophecy DeFi” or the “Company”) is pleased to announce that, further to its press release dated December 24, 2025, the Company has closed its non-brokered private placement through the issuance of 7,000,000 units (the “Units”) at a price of $0.05 per Unit (the “Private Placement”).
Each Unit consists of one common share and one common share purchase warrant (each, a “Warrant”). Each common share purchase warrant is exercisable into one additional common share at a price of $0.10 for a period of five (5) years from the closing date.
Proceeds from the Private Placement will be used by the Company for working capital and for other general and administrative costs. All securities issued pursuant to the Private Placement are subject to a four month hold period from the date of issue.
